ปิดดีล! 'GPC' จ่อเซ็นแหลมฉบังเฟส 3 'EEC' คาดลงทุนรวม 8 หมื่นล้าน

ถือเป็นโครงการเมกะโปรเจ็กต์ที่ใช้เวลาในการผลักดันอย่างยาวนานกว่า 2 ปีสำหรับโครงการ "ท่าเรือแหลมฉบังเฟส 3" โครงการสำคัญในพื้นที่เขตพัฒนาเศรษฐกิจพิเศษภาคตะวันออก (อีอีซี) ซึ่งการล่าช้ามาจากข้อขัดแย้งของเอกชน 2 กลุ่มที่เข้ายื่นซองแข่งขันการประมูล ก่อนที่กลุ่มหนึ่งจะถูกตัดสิทธิ์จากข้อผิดพลาดเรื่องเอกสารทำให้มีการไปฟ้องร้องศาลปกครองเป็นคดีความอยู่นานกว่า 1 ปี ทำให้ขั้นตอนการอนุมัติโครงการ การเซ็นสัญญาล่าช้ามาเป็นเวลาพอสมควร 

ล่าสุดโครงการนี้มีความชัดเจนและความคืบหน้าที่สำคัญ เมื่อที่ประชุมคณะกรรมการนโยบายเขตพัฒนาพิเศษภาคตะวันออก (กพอ.) เมื่อวันพุธที่ 4 สิงหาคม 2564 ที่มี พลเอกประยุทธ์ จันทร์โอชา นายกรัฐมนตรี ในฐานะประธานกรรมการ กพอ. เป็นประธานได้พิจารณา ผลการคัดเลือกเอกชน ผลการเจรจา และร่างสัญญาร่วมลงทุน โครงการพัฒนาท่าเรือแหลมฉบัง ระยะที่ 3 ในส่วนของท่าเทียบเรือ F ตามที่ คณะกรรมการคัดเลือกฯ ได้ดำเนินการตาม มติ ครม. เมื่อวันที่ 7 เมษายน 2564 

คณิศ แสงสุพรรณ เลขาธิการอีอีซี กล่าวว่าขณะนี้ได้มีการส่งสัญญาร่วมลงทุนระหว่างภาครัฐกับเอกชนให้สำนักงานอัยการสูงสุดพิจารณา จากนั้นจะนำเอาสัญญาที่ผ่านการพิจารณาแล้วเข้าสู่การพิจารณาของ กพอ.นัดพิเศษ และนำเสนอที่ประชุมคณะรัฐมนตรี (ครม.) เมื่อผ่านความเห็นชอบแล้วก็จะมีการเซ็นสัญญากับภาคเอกชนโดยกลุ่มกิจการร่วมค่า GPC กับการท่าเรือแห่งประเทศไทย คาดว่าจะดำเนินการได้ในเดือน ส.ค.นี้

ส่วนการก่อสร้างท่าเรือ F1 คาดว่าจะดำเนินการแล้วเสร็จในปี 2568 และท่าเรือ F2 จะดำเนินการให้แล้วเสร็จในปี 2572 จากนั้นจะเปิดประมูลท่าเรือใกล้เคียงในบริเวณดังกล่าว ได้แก่ ท่าเรือ E ซึ่งจะมีการเชิญชวนเอกชนมาร่วมลงทุนอีกโครงการ 

อนุมัติผลประโยชน์ตอบแทนทางการเงินที่ภาครัฐได้รับจากโครงการฯ เป็นค่าสัมปทานคงที่ คิดเป็นมูลค่าปัจจุบัน 29,050 ล้านบาท และค่าสัมปทานผันแปรที่ 100 บาทต่อ TEU (หน่วยนับตู้คอนเทนเนอร์ซึ่งมีขนาด 20 ฟุต)

โดยคณะกรรมการคัดเลือกฯ ในการประชุมเมื่อวันที่ 20 เมษายน 2564 ได้มีมติให้กลุ่มกิจการร่วมค้า GPC เป็นผู้ผ่านการประเมินข้อเสนอซองที่ 4 ซึ่งได้เสนอผลประโยชน์ตอบแทนทางการเงินที่ภาครัฐได้รับ ตามที่ มติ ครม. ได้อนุมัติไว้

นอกจากนี้ ยังได้เจรจาผลตอบแทนเพิ่มเติม อาทิ เอกชนตกลงเพิ่มเงื่อนไขการสร้างท่าเรือ F2 ให้เร็วขึ้น หากแนวโน้มตู้สินค้าเพิ่มขึ้นกว่าที่คาดการณ์ไว้ เอกชนจะสมทบเงินเข้ากองทุนเยียวยาความเสียหาย ในอัตรา 5,000 บาท/ไร่/ปี นับตั้งแต่วันเริ่มประกอบการท่าเทียบเรือ เป็นต้น

ทั้งนี้ คณะทำงานเจรจาร่างสัญญา ฯ ที่มีผู้แทนสำนักงานอัยการสูงสุดเป็นประธาน ได้ดำเนินการเจรจาร่างสัญญาร่วมลงทุนกับเอกชน รวมทั้งสิ้น 14 ครั้ง โดย ยึดหลักเจรจาตามเอกสารการคัดเลือกเอกชน ระเบียบและกฎหมายที่เกี่ยวข้องอย่างโปร่งใส รัดกุม และประเทศได้ประโยชน์สูงสุด จนได้ข้อยุติในเบื้องต้น จากนั้นคณะกรรมการคัดเลือกฯ ได้เจรจาร่างสัญญาร่วมลงทุนกับเอกชนเพิ่มเติมอีก 4 ครั้ง จนได้ข้อยุติในทุกประเด็น

และในการประชุมเมื่อวันที่ 28 มิถุนายน 2564 คณะกรรมการคัดเลือกฯ มีมติว่าได้ดำเนินการเจรจาร่างสัญญาร่วมลงทุนครบถ้วนทุกประเด็นแล้ว จึงเสนอให้การท่าเรือแห่งประเทศไทย (กทท.) และ สกพอ. พิจารณาดำเนินการต่อไป โดย กทท. ได้ส่งร่างสัญญาร่วมลงทุนให้สำนักงานอัยการสูงสุดตรวจพิจารณา ทั้งนี้ได้ข้อตกลงในร่างสัญญาร่วมลงทุนกับเอกชนเรียบร้อยแล้ว และอยู่ระหว่างการพิจารณาจากสำนักงานอัยการสูงสุด  โดยจะเร่งนำเสนอ ครม. พิจารณา และลงนามสัญญาต่อไป

โครงการนี้จะก่อให้เกิดการลงทุนรวมกว่า 7.92 หมื่นล้านบาท เป็นการลงทุนของภาครัฐประมาณ 4.83 หมื่นล้านบาท และการลงทุนของเอกชนประมาณ 3.08 หมื่นล้านบาท

ก่อนหน้านี้มีการรายงานผลตอบแทนโครงการ และการวิเคราะห์ทางการเงินให้ที่ประชุม ครม.รับทราบเกี่ยวกับโครงการดังกล่าวจากข้อเสนอซองที่ 4 ด้านผลประโยชน์ตอบแทนนั้น กลุ่มกิจการร่วมค้า GPC เสนอค่าสัมปทานคงที่คิดเป็นมูลค่าปัจจุบันสุทธิ (NPV) ที่ 12,051 ล้านบาท และค่าสัมปทานผันแปรที่ 100 บาทต่อทีอียู ซึ่งค่าสัมปทานคงที่ดังกล่าวต่ำกว่าที่รัฐคาดหมายตามมติ ครม. โดยคณะกรรมการคัดเลือกฯ ได้เจรจาผลประโยชน์ตอบแทนทางการเงินกับกลุ่มกิจการร่วมค้า GPC จำนวน 6 ครั้ง โดยข้อเสนอสุดท้ายอยู่ที่ 29,050 ล้านบาท และค่าสัมปทานผันแปรคงเดิมที่ 100 บาทต่อทีอียู

ขณะเดียวกัน กทท.และ สกพอ.ได้เสนอความเห็นร่วมกันว่า ผลตอบแทนโครงการเฉพาะส่วนของท่าเทียบเรือ F จะมีอัตราผลตอบแทนทางการเงิน (FIRR) อยู่ที่ 11.01% และมีมูลค่าปัจจุบันสุทธิ (NPV ) อยู่ที่ 30,032 ล้านบาท และหากนำมูลค่าที่ดินของ กทท.มาคำนวณเป็นมูลค่าสุดท้าย (Terminal Value) จะมีอัตราผลตอบแทนทางการเงินอยู่ที่ 11.54% และมีมูลค่าปัจจุบันสุทธิอยู่ที่ 39,959 ล้านบาท ซึ่งอยู่ในระดับที่ดีสำหรับการลงทุนโครงสร้างพื้นฐานขนาดใหญ่
